1. Introduction

Welcome to Jadegate, a digital platform operated by Jadegate Tech Limited ("Jadegate", "we", "us", or "our"). By accessing or using the Jadegate mobile application, website, wallet, payment, marketplace, notification, support, or related services (the "Platform"), you agree to be bound by these Terms of Use ("Terms").

If you do not agree to these Terms, please do not use the Platform.

2. Eligibility

By using the Platform, you confirm that:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • You are using the Platform for lawful purposes

If you use the Platform on behalf of an organization, you represent that you have the authority to bind that organization.

3. Account Registration and Verification

To access our services, you must create an account and provide accurate information. Depending on the feature you use, this may include:

  • First name and last name
  • Username
  • Email address
  • Phone number in international format where required
  • Gender, where you choose to provide it
  • Password and a 4-digit transaction PIN
  • Bank Verification Number (BVN), National Identification Number (NIN), liveness checks, address information, and verification documents where required

You must accept the current Terms and Privacy Policy during registration and when we require re-acceptance after a material update. You may also be required to verify your email address before using wallet, conversion, bill payment, or other protected features.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Maintaining control of your registered email address and phone number
  • Keeping your transaction PIN private
  • All activities conducted under your account

You must notify us immediately of any unauthorized access.

4. Services Provided

Jadegate provides digital financial, utility, compliance, notification, and marketplace support services, including:

Account and Wallet Services

  • Account creation, login, email verification, profile management, and password or PIN changes
  • Creation of a Jadegate wallet and a dedicated virtual account for deposits where available
  • Wallet balance, transaction history, and payment status tracking

Currency Conversion

  • Conversion of Nigerian Naira (NGN) to Chinese Renminbi (RMB)
  • RMB receiving details through Alipay or supported Chinese bank accounts
  • Saving and managing Alipay or Chinese bank beneficiaries for future conversions

Bill Payments

  • Payment of supported services including airtime, data, electricity, TV subscriptions, and other services we make available
  • Customer, meter, smartcard, and service validation where supported by our providers

China Marketplace Services

  • Assistance with sourcing goods and services from China
  • Communication with agents for procurement, manufacturing, and logistics
  • Facilitation of supplier-related transactions
  • Support or marketplace chat, including text and image attachments

Notifications and Support

  • Transaction, security, KYC, chat, service, and account notifications
  • Customer support, compliance review, dispute handling, and account deletion support

We reserve the right to modify, suspend, or discontinue any service at any time.

5. KYC, Account Tiers, and Transaction Limits

Jadegate uses account tiers and transaction limits to manage fraud, security, and compliance risk. Access to wallet funding, conversions, bill payments, marketplace services, or higher limits may require successful KYC verification.

  • Unverified users may have limited access and lower limits
  • BVN verification may be required to create a wallet and dedicated virtual account
  • Full verification may require NIN, proof of address, document upload, and liveness verification
  • We may reject, suspend, or require re-verification where information is incomplete, inconsistent, suspicious, expired, or required by law or risk controls
  • Daily, monthly, tier-based, or transaction-specific limits may apply and may change without prior notice where required for security or compliance

6. User Responsibilities

By using the Platform, you agree to:

  • Provide accurate and up-to-date information
  • Use the Platform only for lawful purposes
  • Not engage in fraud, money laundering, or illegal activities
  • Not attempt to bypass or interfere with platform security
  • Use only payment methods, identity documents, bank details, Alipay details, and beneficiary information that you are authorized to use
  • Maintain sufficient wallet balance before initiating paid services
  • Review all recipient, beneficiary, meter, smartcard, service, and transaction details before confirming a transaction

7. Wallet Funding, Settlement, and Payment Status

Wallet deposits and dedicated virtual account payments are credited after confirmation from our payment partners and internal checks. Transactions may show as pending, processing, successful, completed, failed, refunded, cancelled, or another status used by the Platform.

  • Deposits may be delayed, rejected, reversed, or reviewed where provider confirmation, fraud checks, account matching, or regulatory checks require it
  • Conversions are generally pending until reviewed and completed by Jadegate or its authorized operators
  • Bill payments depend on third-party provider confirmation and may require status polling or reconciliation
  • Where a supported bill payment fails before completion, we may refund the debited amount to your Jadegate wallet after provider status is confirmed
  • We may refuse or delay processing transactions that exceed limits, fail verification, appear suspicious, or violate these Terms or applicable law

8. Transaction PIN and Authorization

Some wallet debits, conversions, and bill payments require your transaction PIN. Entry of the correct PIN is treated as authorization for the transaction. You must not share your transaction PIN, password, OTP, device, session, or login credentials with anyone.

9. Fees and Charges

Certain services may attract fees, including:

  • Currency conversion margins
  • Transaction fees
  • Marketplace service charges
  • Third-party provider charges or biller fees

Applicable fees, rates, or charges will be displayed before you confirm a transaction where the Platform supports this. Fees and rates may change based on market conditions, provider pricing, operational costs, or regulatory requirements.

10. Currency Exchange Disclaimer

Currency exchange rates on Jadegate:

  • Are subject to market fluctuations
  • May differ from official or interbank rates
  • May include a Jadegate margin or service charge
  • May change before a transaction is confirmed or completed

We do not guarantee that our rates will always be the most favorable or that a requested conversion can be completed at a previously displayed rate after market, provider, or operational conditions change.

11. Security and Data Protection

We use security controls such as authentication, OTP verification, rate limits, transaction PINs, audit logs, encrypted or hashed sensitive identifiers where appropriate, and access controls to protect the Platform.

By using the Platform, you consent to the collection and use of your information in accordance with our Privacy Policy.

You are responsible for:

  • Keeping your login details secure
  • Protecting your transaction PIN
  • Using updated devices, secure email accounts, and trusted networks

12. Marketplace and Third-Party Services

For China marketplace services:

  • Jadegate may connect users with third-party agents or suppliers
  • We do not manufacture goods or directly control third-party services
  • Quotes, availability, timelines, quality, logistics, and supplier obligations may depend on third parties
  • We are not liable for disputes arising from supplier, agent, logistics, customs, or third-party service failures except where liability cannot be excluded by law

Users are responsible for verifying supplier details before transactions.

13. Prohibited Activities

You must not use Jadegate for:

  • Money laundering, terrorist financing, fraud, sanctions evasion, or illegal trade
  • Unauthorized payments, stolen cards, mule accounts, fake identities, forged documents, or impersonation
  • Illegal cross-border transfers, trade-based money laundering, or prohibited goods and services
  • Harassment, abusive chat conduct, spam, malware, scraping, reverse engineering, or interference with the Platform
  • Transactions that violate Nigerian law, Chinese law, payment partner rules, biller rules, or any other applicable regulation

14. Limitation of Liability

To the maximum extent permitted by law, Jadegate shall not be liable for:

  • Loss of profits, funds, or data
  • Delays in transactions
  • Third-party service failures
  • Marketplace-related disputes
  • Errors caused by incorrect recipient, beneficiary, service, biller, meter, smartcard, or account information supplied by you
  • Unsupported, declined, reversed, delayed, or blocked provider transactions

All services are provided on an "as is" basis.

15. Suspension and Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • Suspicious or fraudulent activity is detected
  • Required by law or regulatory authorities
  • You fail, refuse, or reverse required KYC or compliance checks
  • You misuse wallet, conversion, bill payment, chat, marketplace, or notification services

Suspension or termination may restrict access to the Platform while we review your account, settle pending transactions, handle disputes, comply with law, or protect users and partners.

16. Account Deletion

You may request account deletion in the app or through the process described on our Delete Account page. Account deletion may be blocked or delayed if you have a wallet balance, pending transactions, pending conversions, processing bill payments, unresolved disputes, compliance obligations, or legal retention requirements.

Deletion requests may be subject to a grace period during which you can cancel the request. Some financial, compliance, audit, security, transaction, bill payment, conversion, marketplace, support, and legal records may be retained as described in our Privacy Policy and applicable law.

17. Dispute Resolution

In the event of a dispute:

  • Parties shall attempt to resolve the matter amicably
  • If unresolved, the matter may be escalated to legal proceedings in Nigeria

18. Amendments

We may update these Terms at any time.

Changes will take effect when posted or when we notify you through the Platform. Where required, you may be prompted to accept the updated Terms before continuing to use the Platform.

19. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

21. Entire Agreement

These Terms, together with our Privacy Policy and other posted policies, constitute the entire agreement between you and Jadegate regarding use of the Platform.
